1. Acceptance of these terms

By signing up for or using Gbese, you agree to these Terms of Service and our Privacy Policy. If you're signing up on behalf of a business, you confirm you have the authority to bind that business to these terms.

2. What Gbese is

Gbese is a WhatsApp-based tool that helps businesses log money owed to them by customers (receivables), money they owe to suppliers (payables), and business expenses, and helps automate reminders and payment collection.

Gbese is not a debt collection agency, a lender, a bank, or a financial institution. We provide software that helps you manage and communicate about debts you are already owed — we do not collect debts on your behalf, guarantee payment, or extend credit.

3. Eligibility and your account

  • You must be at least 18 years old and able to form a binding contract to use Gbese.
  • You're responsible for the accuracy of the business information you provide at signup, and for keeping your WhatsApp number and account details up to date.
  • You're responsible for all activity that happens through messages sent from your registered WhatsApp number to Gbese.

4. Plans, billing, and cancellation

  • Free plan — no charge, with the features described on our pricing page, including usage limits that may apply (such as a cap on open debts).
  • Gbese Pro — a paid monthly subscription, billed in advance via Paystack. The current price is shown on our pricing page at the time of signup.
  • Subscriptions renew automatically each billing period unless cancelled before the renewal date.
  • You can cancel Gbese Pro at any time from your dashboard; your plan will remain active until the end of the current billing period, after which it will revert to Free.
  • Fees are generally non-refundable, except where required by law.

5. Use of WhatsApp to reach your customers

When you log a receivable, Gbese sends messages — including receipts, reminders, and payment links — to the phone number you provide for that customer, using your business's identity. By using this feature, you confirm that:

  • You have a legitimate business relationship with the person you're logging a debt for, and a lawful basis to contact them.
  • The information you provide about them (name, phone number, amount owed) is accurate.
  • You will not use Gbese to send messages to people who haven't done business with you, or for any purpose other than legitimate receivables and payables tracking.

Gbese relies on WhatsApp's platform to deliver messages and is not responsible for delivery failures, changes to WhatsApp's policies, or WhatsApp's own handling of message content.

6. Your responsibilities

  • Log accurate information — amounts, names, and due dates you enter are your responsibility.
  • Use reminders responsibly — Gbese is built to help you collect payment without being the "bad guy," not to harass or threaten anyone. Excessively aggressive use of reminder messaging outside Gbese's built-in cadence may violate these terms.
  • Comply with applicable law when collecting and sharing information about your customers and suppliers, including data protection and consumer protection law.

7. Prohibited use

You may not use Gbese to:

  • Harass, threaten, or defraud any person.
  • Log false debts or send payment requests for money that isn't genuinely owed.
  • Attempt to collect debts on behalf of a third party without authorization (e.g., operating as an unlicensed debt collection service through Gbese).
  • Circumvent usage limits, reverse-engineer the service, or interfere with its normal operation.
  • Violate any applicable law, including data protection, consumer protection, or anti-money-laundering law.

8. Intellectual property

Gbese, its logo, and the software underlying the service belong to us. Your business data — the debts, payments, and records you create — belongs to you; we process it to provide the service as described in our Privacy Policy.

9. Disclaimers

Gbese is provided "as is." We do not guarantee that reminders will be delivered, that customers will pay, or that the service will be uninterrupted or error-free. Automated reminder tone and AI-based message parsing may occasionally misinterpret a message — you're responsible for reviewing logged entries for accuracy.

Nothing in Gbese constitutes legal, financial, or debt-collection advice.

10. Limitation of liability

To the maximum extent permitted by law, Gbese and its operators are not liable for indirect, incidental, or consequential damages arising from your use of the service, including lost profits or unpaid debts. Our total liability for any claim relating to the service is limited to the amount you paid us in the three months before the claim arose.

11. Termination

You may stop using Gbese and delete your account at any time. We may suspend or terminate accounts that violate these terms, engage in fraudulent activity, or pose a risk to other users or the platform.

12. Changes to these terms

We may update these terms from time to time. We'll update the "Last updated" date above, and for material changes, we'll make reasonable efforts to notify you directly.

13. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.
